These Terms of Service (“Terms”) govern your access to and use of ZeroBooks.ca and the ZeroBooks service. ZeroBooks is provided by ZeroBooks Inc., an Ontario corporation (“ZeroBooks”, “we”, “us”, or “our”). Our business address is available upon request. You can contact us at hello@zerobooks.ca.
By using ZeroBooks, booking a pilot, submitting information, connecting accounts, paying for the service, or otherwise accessing the service, you agree to these Terms. If you are using ZeroBooks on behalf of a business, you confirm that you have authority to bind that business to these Terms.
1. Description of the service
ZeroBooks is an AI bookkeeping agent for Ontario home service businesses. The service is built around QuickBooks Online and is designed to help with bookkeeping workflows such as:
- Transaction categorization.
- QuickBooks Online cleanup.
- Vendor and category standardization.
- Receipt, invoice, statement, and document processing.
- Bank activity review.
- Monthly bookkeeping workflows.
- GST/HST filing prep.
- Filing deadline tracking.
- Monthly owner reports.
- Year-end accounting package preparation.
- Clarification questions when bookkeeping context is unclear.
ZeroBooks prepares filing-ready numbers and summaries. ZeroBooks does not currently file GST/HST returns, submit filings to the CRA, remit taxes, or communicate with tax authorities on your behalf unless separately agreed in writing.
2. Early-access paid pilot
ZeroBooks is currently offered as an early-access paid pilot. You understand that the service may change, improve, or be adjusted as we learn from real customer workflows.
The pilot may include AI-assisted workflows, internal human supervision, human review, manual correction, and operational work behind the scenes. This review is used to improve quality, catch issues, and make the service useful for early customers.
We may add, remove, change, suspend, or discontinue features during the pilot. We do not guarantee that all features shown on the website will be available at all times or in exactly the same form.
3. Eligibility
ZeroBooks is intended for businesses, not consumers. To use the service, you must:
- Be at least the age of majority in your jurisdiction.
- Have authority to act for the business using the service.
- Provide accurate and complete information.
- Use the service only for lawful business purposes.
- Comply with these Terms and all applicable laws.
We may refuse, suspend, or terminate service if we believe a customer is not a good fit, creates legal or operational risk, provides inaccurate information, misuses the service, or violates these Terms.
4. Your responsibilities
You are responsible for:
- Providing accurate, complete, and timely information.
- Maintaining your own QuickBooks Online account and related business systems.
- Reviewing bookkeeping outputs, reports, summaries, categorizations, filing-prep numbers, and year-end packages before relying on them.
- Making final decisions about accounting, tax, filing, payroll, business, financing, compliance, and legal matters.
- Ensuring that your use of ZeroBooks complies with laws that apply to your business.
- Keeping your accounts, devices, email, file-sharing tools, and connected services secure.
- Ensuring that you have the right to provide us with any data, files, records, or access you submit.
- Maintaining your own books and records as required by law.
ZeroBooks can reduce bookkeeping admin, but you remain responsible for your business records, tax filings, remittances, legal compliance, and final review of outputs.
5. Access to QuickBooks, bank data, and files
ZeroBooks works with QuickBooks Online and may use bank data providers such as Plaid or Flinks to access bank transaction data.
Where possible, access should be granted through secure integrations, delegated access, read-only access, accountant access, OAuth, or customer-controlled file sharing. You should not send us passwords for QuickBooks, bank accounts, CRA accounts, email accounts, or other third-party systems.
If you give ZeroBooks access to QuickBooks, bank data, Google Drive, file folders, receipts, invoices, or other systems, you authorize us to access, process, and use that information as needed to provide the service.
You are responsible for managing sharing settings and permissions in your own third-party accounts.
6. AI outputs and professional advice
ZeroBooks uses AI and automation. AI-assisted outputs may contain errors, omissions, incorrect classifications, hallucinations, outdated assumptions, or incomplete analysis.
ZeroBooks is not a licensed public accounting firm, tax advisor, law firm, auditor, payroll provider, financial advisor, or investment advisor. ZeroBooks does not provide legal, tax, audit, assurance, investment, or licensed professional advice.
For routine bookkeeping and accounting admin, ZeroBooks is designed to replace bookkeeping workflows. For complex tax planning, unusual corporate situations, audits, legal questions, financing decisions, payroll issues, or professional advice, you should consult a qualified accountant, tax advisor, lawyer, or other licensed professional.
You must verify all outputs before relying on them, filing them, sending them to your accountant, using them for tax purposes, using them for financing, or making business decisions based on them.
7. GST/HST filing prep
ZeroBooks may prepare GST/HST filing summaries, estimated amounts, transaction groupings, and related filing-prep materials.
Unless we separately agree in writing, ZeroBooks does not:
- Submit GST/HST returns.
- Remit taxes.
- Act as your representative with the CRA.
- Guarantee that any filing-prep summary is complete, final, or accepted by the CRA.
- Provide tax advice.
You are responsible for reviewing all filing-prep materials and making any required filings or payments on time.
8. Subscription, billing, and payment
ZeroBooks is currently offered to early customers for $699 per month, with no setup fee for early customers unless separately agreed in writing.
By subscribing, you authorize ZeroBooks or our payment processor to charge your selected payment method on a recurring monthly basis until cancelled.
Fees are billed in advance unless otherwise agreed. Failed payments may result in suspension or termination of service.
We may change pricing in the future. Any pricing change for an existing customer will take effect only after notice or as otherwise agreed.
9. Cancellation and refunds
You may cancel your subscription at any time by contacting us at hello@zerobooks.ca.
Cancellation stops future billing but does not automatically refund amounts already paid. Fees already paid are non-refundable except where required by law or where ZeroBooks agrees otherwise in writing.
If you cancel, we may stop providing the service at the end of your paid billing period unless we agree otherwise.
10. Customer data and ownership
You retain ownership of the business data, financial data, files, records, and content you provide to ZeroBooks.
You grant ZeroBooks a limited right to access, use, process, copy, transmit, store, analyze, and display your data as needed to provide, secure, support, maintain, and improve the service, comply with law, and enforce these Terms.
You represent that you have the necessary rights, permissions, and authority to provide data to ZeroBooks and to authorize us to process it.
11. Confidentiality
Business and financial data you provide to ZeroBooks is confidential. We will use reasonable efforts to protect it and will not disclose it except as described in these Terms, our Privacy Policy, with your consent, to service providers, or as required to provide the service, comply with law, protect rights and safety, or operate the business.
12. Third-party services
ZeroBooks depends on third-party services, which may include QuickBooks Online / Intuit, Plaid, Flinks, Stripe, OpenAI, Anthropic, Google Gemini, DigitalOcean, Supabase, Vercel, Google Workspace, Slack, Cal.com, and others.
Your use of third-party services may be governed by their own terms, privacy policies, fees, availability, and restrictions. ZeroBooks is not responsible for third-party service outages, errors, security incidents, data inaccuracies, policy changes, or discontinued access.
13. Acceptable use
You agree not to:
- Use ZeroBooks for unlawful, fraudulent, deceptive, or harmful purposes.
- Provide information you do not have the right to provide.
- Attempt to gain unauthorized access to ZeroBooks or related systems.
- Interfere with the security, integrity, or availability of the service.
- Reverse engineer, scrape, overload, or misuse the service.
- Use ZeroBooks to process data from businesses or individuals without proper authority or consent.
- Misrepresent outputs from ZeroBooks as audited, certified, legally approved, or professionally guaranteed unless that is separately confirmed in writing by a qualified professional.
14. Intellectual property
ZeroBooks, the website, service, software, workflows, automation, prompts, designs, branding, documentation, and related materials are owned by ZeroBooks Inc. or its licensors.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from ZeroBooks except as allowed by law or with our written permission.
15. Service availability
We aim to provide a useful and reliable service, but ZeroBooks is provided on an early-access basis. We do not guarantee uninterrupted availability, error-free operation, specific uptime, or that every bookkeeping issue will be detected or resolved.
We may suspend access for maintenance, security, legal, operational, billing, or technical reasons.
16. Disclaimers
ZeroBooks is provided “as is” and “as available” to the maximum extent permitted by law.
We disclaim all warranties, conditions, and representations, whether express, implied, statutory, or otherwise, including warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.
We do not guarantee that ZeroBooks will prevent bookkeeping errors, tax errors, filing errors, missed deadlines, penalties, interest, audit issues, financial losses, or business losses.
17. Limitation of liability
To the maximum extent permitted by law, ZeroBooks Inc. and its directors, officers, employees, contractors, agents, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost savings, loss of goodwill, loss of data, business interruption, penalties, interest, tax liabilities, audit outcomes, or other business losses.
To the maximum extent permitted by law, ZeroBooks’ total aggregate liability for all claims relating to the service or these Terms will not exceed the amount you paid to ZeroBooks in the three months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
18. Indemnification
You agree to defend, indemnify, and hold harmless ZeroBooks Inc. and its directors, officers, employees, contractors, agents, service providers, and affiliates from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or related to:
- Your use or misuse of ZeroBooks.
- Your data, files, records, or instructions.
- Your failure to review or verify outputs.
- Your tax filings, remittances, accounting records, payroll records, or business decisions.
- Your violation of these Terms.
- Your violation of law or third-party rights.
- Your unauthorized sharing or processing of data.
19. Suspension and termination
We may suspend or terminate your access to ZeroBooks if:
- You fail to pay fees when due.
- You violate these Terms.
- You create security, legal, operational, reputational, or financial risk.
- We believe your use of the service is unlawful, harmful, or unsuitable.
- We discontinue the service or pilot.
After termination, provisions that by their nature should survive will survive, including ownership, confidentiality, disclaimers, limitation of liability, indemnification, payment obligations, and governing law.
20. Changes to the service or Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date above. Continued use of ZeroBooks after updated Terms are posted or provided means you accept the updated Terms.
21. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or ZeroBooks will be resolved in the courts located in Ontario, Canada, unless applicable law requires otherwise.
